Abstract

Regulations that follow the development of era in the context of economic liberalization can be implemented as an effort to expand business. This article discusses the comparison of capital market law in the taking-over of accompany in Indonesia and in the United States (US) as well as legal protection for stakeholders related to the process of taking over. The purpose of comparative law is not merely to understand the similarities and the differences, but more to find out the causes and factors affecting the similarities and differences of the legal systems being compared. In this study, the method used was comparative approach that was descriptive in nature. The findings of the research showed that there were some similarities in the implementation of tenders between Indonesia and the US, however there are some differences, such as the procedures for protecting the stakeholders related to the process of taking over.
