The increasingly rapid world economic growth has led to many entrepreneurs establishing Business Entities, starting from what initially made a CV eventually turning into a Limited Liability Company. This article discusses the issue of the process of changing the form of a legal entity from CV to PT due to a third party when the process of changing the form of a Business Entity (CV) to a Legal Entity (PT) carried out by PT. Main Construction Work. This research uses a normative approach with a descriptive analytical specification. The results of this study indicate that the change in status to a legal entity has consequences, especially for third parties when the status changes. This depends on the responsibilities of the active partners who are also the founders of PT. in anticipating problems between active partners and third parties. It is necessary to hold a General Meeting of Shareholders, or hold a mutual agreement between all prospective founders of a PT so that they expressly accept or take over all rights and obligations arising from legal actions carried out by the Prospective Founders or their proxies.
