Abstract

Cross-border mergers and acquisitions (M&A) have become a pivotal strategy for tech companies seeking to expand their global footprint, access new markets, and acquire cutting-edge technologies. These transactions, however, are complex and subject to an intricate web of regulatory frameworks across different jurisdictions. In the United States, tech companies engaging in cross-border M&A must navigate stringent oversight by agencies such as the Committee on Foreign Investment in the United States (CFIUS), which evaluates transactions for national security risks. Simultaneously, international regulatory frameworks, including the European Union's competition laws and emerging guidelines in regions such as Asia-Pacific, add further layers of scrutiny. Key challenges include compliance with diverse antitrust policies, navigating data privacy regulations, and addressing geopolitical tensions that may influence regulatory decisions. For tech companies, the stakes are particularly high, as the sensitive nature of intellectual property and data assets often triggers heightened scrutiny. Additionally, the rise of protectionist policies globally has led to increased barriers for cross-border M&A. This paper examines the regulatory landscape from a broader perspective, analysing trends in international M&A regulations, before narrowing down to specific challenges faced by tech companies in cross-border transactions. It highlights the strategies firms can employ to mitigate risks, such as conducting robust due diligence, engaging in pre-clearance consultations with regulators, and adopting transparent practices to address potential national security concerns. By providing insights into both U.S. and international regulatory frameworks, this study aims to guide tech companies in navigating the complexities of cross-border M&A and fostering successful global partnerships.
